Each year Naiades Oncology Rowing, Inc. (“Naiades”) requests that members of Board of Directors acknowledge that they have received and reviewed the organization’s Conflict of Interest Statement. Attached hereto, please find the 2023 version of the Conflict-of-Interest Statement. Please review and indicate below any conflicts or potential conflicts of interest you may have. This would include relationships, arrangements, transactions, or situations that could be potentially interpreted as a conflict of interest by an outside, third-party. It should be noted that we believe it appropriate to disclose any family members or friends who are vendors of or to Naiades or are members of Naiades. If you believe that you have no conflict-of-interest items, please state “none”. Naiades Oncology Rowing, Inc. Conflict of Interest Statement/Policy Naiades Oncology Rowing, Inc. (“Naiades”) has a responsibility to its rowers, directors and the public to assure that it conducts business within the guidelines that prohibit actual or potential conflicts of interest. It performs this duty, in part, by publishing and disseminating to its directors certain unacceptable situations which directors should avoid. Directors are expected to act in good faith at all times and not use their positions within Naiades for private or personal advantage or gain. Should a director become aware of a conflict or potential conflict, the director will disclose it to the Secretary of the Board. Expectations: 1. Directors shall act in the best interest of the organization and avoid, to the greatest practical extent, conflicts between the interests of the organization and their own self-interest. Conflicts of Interest will not be permitted which adversely affect the interests of the organization and the directors are required to disclose any actual or potential conflicts. Definition of “Conflict of Interest” The term “conflict of interest” shall mean any situation in which an individual is in a position to approve or influence Corporation policies or actions which involve or could ultimately harm or benefit financially: (a) the individual; (b) any family member (spouse, domestic partner, grandparents, parents, children, grandchildren, great grandchildren, brothers or sisters (whether whole or half blood), and spouses of these individuals); or (c) any organization in which he/she or a family member is a director, trustee, officer, member, partner or more than 10% of the total (combined) voting power. Service on the board of another nor-for-profit corporation does not constitute a conflict of interest. 2. A director or officer shall disclose a conflict of interest: (a) prior to voting on or otherwise discharging his or her duties with respect to any matters involving the conflict which comes before the Board or any committee; (b) prior to entering into any contract or transaction involving the conflict; (c) as soon as possible after the director or officer learns of the conflict; and (d) on the annual conflict of interest disclosure form. 3. The Secretary shall distribute annually to all directors a form soliciting the disclosure of all conflicts interest, including specific information concerning the terms of any contract or transaction with the Corporation and whether the process for approval set forth in the by-laws was used.
